The Client and Service Provider agree as follows:


The Agreement made according to the date signed noted in our agreement

system


Between the Client as noted on the cover of this proposal


And the Service Provider


ME3 Social Media, Inc.


For the Project referred to as Social Media Marketing and Management

Services.


1. THE PROJECT SELECTED


1.1.​ The Project that is the subject of this agreement shall consist of one

selected Plan and/or Additional Add Ons which have been preselected or can

be added individually at a later time by the Client:


Facebook and Instagram


Plan 1

1 post on Facebook every other day

1 post on Instagram every other day

1 story post every other day

Events Management on page


Plan 2

1 post on Facebook every other day

1 post on Instagram every other day

1 story post every other day

1 monthly impression, engagement, and follower report

Content

Images will be provided by the Client via text, and/or Telegram or email

communication. If the images are not provided by the Client, the Client may


choose between stock images, custom images, or adding ​onsite photography

as an ​optional service​ for ​$35 per hour​ including drive time to and from ME3's

office in Sanford, Fl and/or ​$35 per hour if needed for custom graphics. ​The

Provider may also recommend preferred professional photographers to the

Client. Copies (captions) are created by the Provider with the client’s

guidance.


2. COMPENSATION


2.1.​ ​Monthly Management Fee


The Client agrees to pay the Service Provider for these services:

For the Social Media Management Service Plan chosen from above, the

monthly management fee is $579 for Plan 1, $859 for Plan 2, $1259 for Plan 3,

and $1839 for Plan 4 based on a six (6) month minimum service agreement

effective immediately. After six (6) months the contract may continue as a

month-to-month agreement with a 30-day notice required should either party

choose to discontinue services.


2.2. Additional Services aka Optional Add Ons


The Service Provider’s rates for additional requested services are:


Consulting

If the Client chooses to have additional social media support and training

beyond the Provider’s content management system and onboarding process,

it would be considered additional social media coaching. Additional social

media support and training will be billed at ​$65 per hour​ upon the request of

the Client.


Social Audit

A complete audit of Facebook and/or Instagram. ​$1200 per audit.


Paid Social Ads

If the client chooses to run Social Media sponsored posts, or ad campaigns, a

campaign management fee​ will be billed at ​20% of advertising campaign

expense. A minimum recommended and required monthly budget for this

additional service is ​$100​. All advertising fees will be approved by and paid for

by the Client. Ad reports are included in this service. If the client runs any ads

collecting customer information, for example, through lead forms, we

recommend using a CRM program to organize and store the customers

information. If the client chooses not to use a CRM, then the client is

responsible for the storing and organizing of each new lead.


Customer Relationship Management (CRM)

Create and connect a customer relationship management system with Zoho

or similar CRM. The Provider will help create and integrate the CRM program

on behalf of the Client for a one time fee of $300. Any additional support for

the CRM after creation and integration will need to be addressed to the

support system directly through the CRM company. The CRM program is free

during trial and then most require a monthly or one time fee to continue

services.


Onsite Photography

We offer photography services to help you gather your content if you don't

have any. This includes LIVE video, event photography, and onsite

photography at $35 per hour (includes drive time and editing).


Onsite Videography

We offer videography services to help you gather your video content if you

don't have any. Price varies per project. (includes drive time and editing).


Graphic Design

Our graphics team drips in creativity. We create motion graphics, grid layouts,

promotional material, banners, logos, and more! Price varies per project.


Influencer Outreach

We get to know your audience and determine what influencers have the

greatest impact on them. Fees are determined between you and the

influencer. We charge a 20% fee for the connection.


2.3.​ ​Initial Payment


Upon signing this ​six (6) month agreement​, the initial fee is the first month's

fee for the chosen plan in addition to any adds selected.


2.4.​ ​Monthly Payment Schedule


The Client will be billed the first months fee plus any add ons at the time of

signing this agreement. The Client will receive further instructions on how to

opt-in to make monthly recurring payments for the amount of the selected

plan chosen. Subsequent Social Media services will be billed monthly and in

advance and add on services will be billed as a one-time payment per the

Client's request.

If you have opted to self-pay for our services, please note that if we do not

have payment by the start of the billing period, we will not manage your Social

Media accounts until we receive full payment. Additionally, late payments may

delay our content writer’s ability to write if your payment is not received on

time.

ME3 Social Media reserves the right to decline The Client’s credit, to change

or revoke the Client’s credit limit and/or terms on the basis of changes in the

Client’s financial condition and/or payment record. If your credit card is


declined for any reason while we perform services we reserve the right to

require that you pay in full for services before the new month’s writing starts.

All sales and services are subject to the ME3 Social Media’s sales terms and

payment schedule.


2.5.​ ​Revisions and Additional Services


Unless otherwise agreed upon, the Service Provider’s fees are based on

completion of services during normal working hours. Any revisions or

additions to the services described in the project summary.

Additional Services will include changes in the extent of work and changes in

the complexity of any components of the project.

The Service Provider will advise the Client on Additional Services that exceed

the scope of this agreement, provide an estimate for the cost of these

services, and request the Client’s approval for these services. Upon receipt of

written approval, the Service Provider will proceed with these additional

services.


2.6.​ ​Work Hours


Normal working hours for this Project are:

Monday through Friday 9:00 a.m. to 5:00 p.m., Eastern Time excluding

holidays.


2.7.​ ​Records


The Service Provider will maintain a record of service hours and reimbursable

expenses and make such records available to the Client for inspection on

request. These records will be retained for at least 3 months after final

payment has been received from the client.


2.8.​ ​Late Payment


The Client agrees to pay a late fee for any overdue services. The late fee shall

be $5.00 plus 18.56% annual interest rate calculated monthly. Payments will

be deemed late if they are not received by the 24th of the month at the close

of the business day for automatic credit card billing customers.

Additionally, The Client agrees to make full payment for all amounts due

according to ME3 Social Media's invoices. Should the Client default in any

such payment, ME3 Social Media shall have the right to declare all invoice

amounts due and payable and to immediately stop services until full payment

is received. We reserve the right to determine if we will continue to provide

services after that point.

In the event that ME3 Social Media or the Service Provider commence any

action or actions, or otherwise seek to enforce this agreement against the

Client, the Client's agrees to pay bank charges, collection fees, attorney fees,

court costs, and other expenses incurred by ME3 Social Media in an effort to

secure any late or past due account balances.


3. CLIENT’S OBLIGATIONS


3.1.​ The Client will provide accurate and complete information and materials

to the Service Provider and will be responsible for the accuracy and

completeness of all information and materials provided. The Client certifies

that all materials supplied to the Service Provider are owned by the Client or

that the Client has all necessary rights to such materials, to permit the Service

Provider to use them for the Project.

The Client shall indemnify, defend, and hold the Service Provider harmless

from and against any claim, suit, damages and expenses, including attorney’s

fees arising from or out of any claim by any party that its rights have been, or

are being violated or infringed upon, with respect to any materials provided by

the Client.


3.2.​ ​Approval of Content


The Client agrees to communicate with the Service Provider through the

Provider’s social media system, email, telegram and/or phone about the Social Media content as they are published and to give guidance on the selection of future topics.


4. RIGHTS, LICENSE, AND OWNERSHIP


4.1.​ Upon full payment of fees and expenses, the Client will have the following

rights to our created content:

The client has full rights for use on the Internet only, but only once full

payment has been received. We may use the same or similar topics for other

clients at some time in the future; however, we agree not to reuse content that

we create for you verbatim for other projects. We reserve the right to use the

created content of any for promotional and marketing purposes.

The Service Provider reserves the right to list as the Client by business or

website name on the Social Media Services page of their website.


4.2. Third Party Contracts


The Service Provider may contract with others to provide creative content or

support services such as writing. The Service Provider will obtain for the Client

the same reproduction rights with respect to materials resulting from services

the Service Provider is providing under this Agreement.

We will be using third-party contractors for our Social Media services. Due to

scheduling or personal needs, our copywriter may change without advanced

notice over the course of your project.


4.3. Sales Tax


The Client agrees to pay any sales, use, or other transfer taxes that may be

applicable to the services provided under this Agreement.



4.4. Applicable Law

This Agreement shall fall under the jurisdiction and shall be governed by the

laws of the principal place of business of the Service Provider: Seminole County, FL The venue of any court proceedings shall be in Seminole County, FL.


4.5.​ ​Assignment


Neither the Client nor the Service Provider may assign or transfer their interest

in this Agreement without the written consent of the other.


4.6.​ ​Termination


Either party may terminate this Agreement upon giving a 30 day written notice

after the end of the six (6) months contract term which expires on last day of

the sixth (6th) month after signing this agreement. Upon termination of this

Agreement by the Client or by the Service Provider, the Service Provider will

bill against any Initial Payment and the Client shall pay the Service Provider for

all hours expended on the Project, up to the date of termination, at the Service

Provider’s standard rates together with all other expenses incurred in good

faith under this Agreement. If the Service Provider’s services exceed the Initial

Payment, the Client agrees to pay the actual amount within 10 days. Both

parties understand that Indemnities may continue even after the date of

termination; e.g. resulting from services provided by subcontractors. Any

money that is not used to cover Service Provider and subcontractor services

will be returned to the client within 14 days.


4.7.​ ​Arbitration


Either party may request that a dispute arising out of this Agreement be

submitted to binding arbitration before a mutually agreed upon arbitrator

pursuant to the rules of the American Arbitration Association. If arbitration is

used, the arbitrator’s award shall be final and judgment may be entered upon

it in any court having jurisdiction.


4.8.​ ​Entire Agreement and Severability


This Agreement represents the entire agreement between the Client and the

Service Provider and may be changed or modified only in writing. If any

section is found to be unenforceable by law, the remainder of the Agreement

shall still be enforceable.


4.9.​ ​Representations


The Client represents that he has full power and authority to enter into this

Agreement and that it is binding upon the Client and enforceable in

accordance with its terms.


The Service Provider represents that she has full power and authority to enter

into this Agreement and that it is binding upon the Service Provider and

enforceable in accordance with its terms.

Provider assumes no liability or responsibility for injury, loss, or damage to

persons or property, inconvenience, delay, or expense arising from or caused

by weather conditions, acts of God, war, accidents, government restrictions or

regulations, from an act or omission of any individual, internet outage, 3rd

party provider, mechanical or technical problems or any other cause or

condition beyond Providers direct control.


5. TIME SCHEDULE


The Service Provider and Client agree that the work will be started according

to the following schedule:

Social Media Management services will start on the day of signing this

agreement, or next business day if falling outside of normal working hours.

Our status update schedule is determined by our writer’s personal schedule.

Status Updates will be provided in a Monday to Friday work week and spaced

out according to our writer’s personal needs.


6. ME3 SOCIAL MEDIA GUARANTEE


The agency guarantees results or the Client's money back. It's very important

ME3 only works with companies and brands they firmly believe they will


produce great results for. If at anytime the Client's accounts' performance has

declined after our services go live, we will refund the entire month questioned

or ME3 will let the Client our of their six (6) month contract, no questions

asked.
